[Summary by Honora Drew]
Changes adopted by a vote of 51 members as of February 5, 2025 were simple and fell into four areas. The amendments can be found in the By-Laws sections below and will be similarly highlighted in the full Subud PNW B-Laws which can be accessed in the link below.
Blue wording highlights purpose of each amendment that was proposed and adopted.
Aims for integrated governance with inclusive and non-hierarchical model.
- Board of Directors
The Board of Directors, when meeting together with two or more representative Regional Helpers, shall be known as the Regional Council.
More representative governance reflecting regional membership. Allowance for Co-Chairs versus Chair and Vice Chair.
- Board of Directors
V-A. MEMBERS — The members of the Regional Board of Directors shall be the current officers of the Corporation (Chairperson, Co-Chair or Vice Chairperson, Secretary and Treasurer), the current Chairperson or Center delegate of each current Center, and (removed “one”) up to (5) representatives for regional members not at Centers.
Removed requirement to form this separate committee to manage Housing Fund – so that we aren’t out of compliance if we can’t fill this subcommittee.
VI-F. REGIONAL HOUSING SUBCOMMITTEE
The Board of Directors of the Subud Pacific Northwest Region (removed shall) may establish a Regional Housing Subcommittee to oversee property management in the region.
Allowed potential release of restricted Subud House sale funds for maintenance of existing properties.
3c. Proceeds of Sale — If a regional property is sold, the proceeds shall be distributed in the following manner:
- repayment of all mortgages and/or lines of credit associated with that property;
- repayment of all loans from Subud USA trust fund associated with that property;
iii. repayment of all private loans, debts or liens against the property;
- any grants from the Regional Housing fund shall be returned to the region;
- the residual shall be held in reserve for a period of five years in the Regional Housing Fund for the use of that center in obtaining another regional house unless the members of the center approve by a majority vote to release the funds for other use. After five years, the money will become part of the general regional housing fund unless that center requests and the board approves an extension of the deadline.
